Terms of Service

These Terms of Service ("Terms") govern your access to and use of stndp, including the command-line interface (CLI), API, web dashboard, and the website at stndp.io (together, the "Service"). The Service is operated by an individual developer based in Israel ("stndp", "we", "us", or "our"). A full legal name and postal address are available on request at support@stndp.io.
By creating an account, installing the CLI, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
1. Eligibility
You must be at least 18 years old to use the Service. By using the Service you represent that you meet this requirement and that the information you provide is accurate and current.
2. Accounts
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at support@stndp.io if you suspect any unauthorized use. We are not liable for any loss arising from your failure to protect your credentials.
3. The Service
stndp provides a context management platform for engineering teams and their AI agents — a shared memory layer accessed through a command-line interface (CLI), an MCP server for coding agents, an API, and a read-only web dashboard. It captures the decisions, working state, and context behind your work into a searchable knowledge graph. We may add, change, or remove features at any time. The Service is under active early-stage development.
4. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service, other accounts, or our systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer or resell the Service except as permitted by law; or (e) upload content that is unlawful, infringing, or that violates the rights of others. We may suspend or terminate accounts that violate these Terms.
5. Billing & Subscriptions
5.1 Plans and billing cycles
Paid plans are offered on monthly and annual billing cycles. Subscriptions renew automatically at the end of each cycle until cancelled. By subscribing, you authorize us and our payment processor to charge the applicable fee to your chosen payment method at the start of each billing cycle.
5.2 Free trial
We offer a 7-day free trial so you can evaluate the Service before committing. Unless you cancel before the trial ends, your subscription will begin and the first charge will apply automatically at the end of the trial. You may cancel at any time during the trial at no cost.
5.3 Payment processor
Payments are processed exclusively by Dodo Payments, which acts as our Merchant of Record. All payment data is handled by Dodo Payments under its own terms and privacy policy; stndp does not store your credit card or payment account details.
5.4 Price changes and taxes
We may change prices from time to time. Price changes apply to the next billing cycle and we will give reasonable advance notice. Fees are exclusive of taxes; you are responsible for any applicable taxes, levies, or duties, except taxes on our income.
5.5 Cancellation and refunds
You may cancel at any time. See our Cancellation Policy for how cancellation works and our Refund Policy for our no-refund position and your statutory rights.
6. Your Content and Data
You retain full ownership of the entries, decisions, checkpoints, and other content you submit (your "Content"). You may export your data or delete your account and data at any time. You grant us a limited, worldwide, non-exclusive license to host, store, transmit, and display your Content solely to operate and provide the Service to you and your team. This license ends when you delete your Content or account, except for residual copies in routine backups that are deleted on our standard cycle.
You are responsible for your Content and represent that you have the rights necessary to submit it and that it does not violate these Terms or any law.
7. Our Intellectual Property
We retain all rights, title, and interest in and to the Service, including all infrastructure, source code, the CLI, the API, the web dashboard, and supporting software, together with all related trademarks and trade dress. Except for the rights expressly granted to you in these Terms, no license is granted to you.
8. Service Provided "AS IS"
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. No formal service-level agreements (SLAs) are offered during the early-stage development phase. Nothing in this section limits warranties or rights that cannot be excluded under applicable consumer law.
9. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms is limited to the total fees you paid to us in the 12 months preceding the event giving rise to the claim. To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the greatest extent permitted by law.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising out of your Content, your use of the Service, or your breach of these Terms, except to the extent caused by us.
11. Suspension and Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms or if required by law. Upon termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and governing law) will survive.
12. Governing Law
These Terms are governed by the laws of the State of Israel, without regard to its conflict of law rules. The courts located in Israel will have exclusive jurisdiction, except where mandatory consumer-protection law in your country of residence grants you the right to bring proceedings locally. If there is any conflict between a translation and the English version, the English version prevails.
13. Changes to These Terms
We may modify these Terms from time to time. If a change is material, we will make reasonable efforts to notify you in advance. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
